Terms of Service

Welcome to Fulfill'd. These Terms of Service ("Terms") govern your use of the Fulfill'd platform, including the website at fulfilld.com and the application at app.fulfilld.com (collectively, the "Service"), operated by Fulfilld, Inc. ("Fulfill'd," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Eligibility

The Service is intended for use by registered businesses engaged in food distribution, retail, food service, or related industries. You must be at least 18 years old and have the authority to bind your organization to these Terms.

2. Account Registration

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain the security of your account credentials
• Promptly update your information if it changes
• Accept responsibility for all activity under your account

3. Marketplace Rules

As a user of the Fulfill'd marketplace, you agree to:

• Vendors: List only products you are authorized to sell. Provide accurate product descriptions, quantities, and expiry dates. Honor all confirmed orders.
• Buyers: Complete purchases in good faith. Complete checkout within the 15-minute cart hold window or items will be released.
• All users: Use the platform only for lawful B2B transactions of food and food-related products.

4. Anonymization

Vendor identities are anonymized in product listings. Vendor identity is revealed to the buyer only after successful payment confirmation. You agree not to attempt to circumvent, reverse-engineer, or otherwise undermine the anonymization features of the platform.

5. Payments

All payments are processed through Stripe Connect. By using the Service:

• Vendors agree to Stripe's Connected Account terms
• Vendors acknowledge a 3.5% transaction fee on completed sales
• Buyers agree to pay the listed price plus any applicable fees
• Funds are held in escrow and released to vendors upon delivery confirmation

6. Cart Hold Policy

Products added to a buyer's cart are reserved for 15 minutes. If checkout is not completed within this window, the products are automatically released back to the marketplace. This policy exists to prevent inventory lock-up and ensure the efficient movement of perishable goods.

7. Product Quality & Food Safety

Vendors are solely responsible for ensuring that all listed products comply with applicable food safety regulations. Fulfill'd does not inspect, certify, or guarantee the quality, safety, or condition of any products listed on the platform.

8. Intellectual Property

The Service, including its design, code, branding, and content, is owned by Fulfilld, Inc. You may not copy, modify, distribute, or create derivative works without our express written permission.

9. Limitation of Liability

To the maximum extent permitted by law, Fulfilld, Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to loss of profits, data, or business opportunities. Fulfill'd is a marketplace platform and is not a party to transactions between buyers and vendors.

10. Termination

We may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or any other reason at our sole discretion. You may close your account at any time by contacting us. Outstanding transaction obligations survive termination.

11. Modifications

We may update these Terms from time to time. Material changes will be communicated to registered users via email or platform notification. Continued use of the Service after changes constitutes acceptance.

12. Governing Law

These Terms are governed by the laws of the State of Oregon, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Multnomah County, Oregon.
